China’s Ministry of Transport has launched a comprehensive investigation to crackdown on arbitrary charges in maritime sector, a move to “improve business environment”. MoT said the action is answering President Xi’s call to reduce taxes and fees for market entities, especially for medium and small-sized companies. The regulators have shown determination to conduct a thorough investigation and help enterprises to get through financial difficulties. “We have zero tolerance for arbitrary charges,” MoT said in a statement. “The action is of great significance to sustain a stable economic market.” It will place greater regulatory scrutiny on charging activities in the sector and urge related companies to increase pricing transparency

1. Given the uncertain dispatch forecast, selecting third party Combustion Engineering Firm will take place during the 3rd quarter. 

- "will take place during" - 중고딩때 배운 기초 숙어지만 실제로는 잘 안써지는 단어

- ~ will take place during ~ 이런식으로 자주 연습해 봐야겠다

- "amid" - '~하는 와중에' 라고 해석하면 됨. 뜻은 알지만 잘 안쓰게 되는데 연습이 필요

- 아예 amid market volatility, amid big price increase, amid chaos 이런식으로 아예 단어를 포함해서 연습하면 좋을듯

At first, no notary offices in Vietnam agreed to notarise the POA for many reasons, such as conflict of jurisdictions, the governing law of the POA is foreign law, some wording of the POA are not acceptable, or simply just because of some administrative processes

- "have taken into account" - 고려해 봤다. We have considered랑 같은 뜻

- "without prejudice basis" - 이 문구는 '이번에 이걸 이렇게 한다는 거지 앞으로 비슷한걸 다 계속 이렇게 한다는 건 아니다' 정도의 의미를 가짐

 

2. They have in-house translators who will arrange for the translation of the legal opinion into Germany and they are flexible in terms of timing

- "they are flexible in terms of timing" - ~ 그들은 시간에 여유가 있다. 당장 일할수 있다 이런 뜻

 

3. Of course, if A and the escrow agent agree to have SIAC hearing the disputes then that is fine, but we just wanted to flag the point that there is no reason for them to agree to arbitration outside of Vietnam for the escrow agreement and the transactions contemplated by it.

1. I should point out that whilst I consider that the reference to each “successive 3 month period” could potentially be interpreted in the way that you suggest, the most natural meaning of these words as used in commercial documents is to refer to quarterly notices (i.e. given once every three months during the currency of the contract).

- "in the way that you suggest." - 통상 쓰는 "as you suggest" 보다 고급져 보이는 표현

- "is to refer to quarterly notices" - 그냥 "is quarterly notices" 하지 않고, "is to refer to quarterly notices"라고 함으로써 더 정확한 의미 전달. 우리말도 가령 이거는 이거다 라고 할때도 있지만, 이거는 이거를 가리키는 거다 라고 하는게 더 정확하듯이.

 

2. It can be argued that the intention is different in these documents as a rolling monthly notice given 90 days prior to each three month period would dovetail with the quantity for the first month being binding.

- "it can be argued" - ~ 라고 주장할 수 있다

- "rolling monthly notice" - rolling이라는 단어를 통해 매달 갱신된다는 의미 부여. rolling이라는 단어를 모르면 길게 쓸수밖에 없는 문장임

- "appears to" - 는 seems to랑 같은 뜻이다. envisage는 예정하다, 상상하다, 예상하다

- "appears to envisage"는 ~를 예정한 것처럼 보인다 라고 해석

 

1. Furthermore, even in case no shipping agent is involved, paragraph (f) seems open to all kind of wharfage costs and other port related fees in relation to the supply and transportation of coal to the Power Plant that are not specifically listed in paragraph (f) or elsewhere in Schedule 5.

- "It seems open to all kind of ~" - 보통 나라면 "it seems it can apply to all kind of" 라고 썼을텐데 더 간단히 쓸 수 있는 좋은 표현인 듯

- "elsewhere in' - 알지만 의식적으로 쓰지 않으면 잘 안쓰게 되는 단어. 보통 "anywhere else in" 이렇게 썼던 듯

 

2. In any case, we think that it is strongly arguable by you that the commercial intent of paragraph (f) is clear, which is to cover all the costs of transporting coal to the Power Plant incurred and which are not otherwise covered in the shipping component of the Fuel Charge or elsewhere in Schedule 5

3.  So we think that you can have a good argument with A that the cost of additional storage arises as a direct result of A not dispatching the Power Plant to a sufficient level and that A should pay. The contractual basis for doing so could be under paragraph (f).  Of course, A might argue otherwise, but in our view you should have solid grounds to present a case for A to pay such charges.

- "they might argue otherwise" - 보통 나라면 "they might say differently" 라고 할 듯한데, 더 세련된 표현인 듯

3.  We can, of course, proceed by way of an actual amendment agreement for the CTA if you prefer, like we did for the September 2020 amendments, but doing so will be less easy to read and understand, given the fact that this is the second set of amendments and these are more comprehensive, it seems easier to amend and restate the CTA.
